End User License Agreement

1. Definitions

• "Software" refers to any Örbital audio plugin, instrument, effect, or application
• "License" refers to the right to use the Software under this agreement
• "Licensee" or "You" refers to the individual or entity that has purchased or obtained a License
• "Licensor" or "Örbital" refers to Örbital and its affiliates

2. Grant of License

Subject to the terms of this agreement, Örbital grants you a non-exclusive, non-transferable license to:

• Install and use the Software on up to three (3) computers owned or controlled by you
• Use the Software for personal and commercial music production
• Use sounds and presets created with the Software in your musical works without additional licensing

3. Restrictions

You may NOT:

• Copy, modify, or distribute the Software
• Reverse engineer, decompile, or disassemble the Software
• Rent, lease, lend, sell, or sublicense the Software
• Remove or alter any proprietary notices or labels
• Use the Software for any unlawful purpose
• Share your license key with others
• Redistribute the raw samples, presets, or sound content as standalone products

4. License Types

4.1 Personal License

A Personal License permits use by a single individual on up to three computers. The license is tied to your account and is non-transferable.

4.2 Subscription License

A Subscription License grants access to the Software for the duration of your active subscription. Access terminates when the subscription ends or is cancelled.

4.3 Rent-to-Own License

A Rent-to-Own License allows you to make monthly payments. Once all payments are completed, you receive a perpetual Personal License.

5. License Activation

The Software requires online activation using a valid license key. You may deactivate and reactivate on different machines, subject to the maximum installation limit. Internet connection is required for activation.

6. Ownership

The Software is licensed, not sold. Örbital retains all ownership rights, title, and interest in the Software, including all intellectual property rights. This agreement does not transfer any ownership rights to you.

7. Updates and Support

Örbital may provide updates to the Software at its discretion. Minor updates (bug fixes, compatibility updates) are generally provided free of charge. Major version upgrades may require additional purchase.

8. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL ÖRBITAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SOFTWARE.

10. Termination

This license is effective until terminated. It will terminate automatically if you fail to comply with any term of this agreement. Upon termination, you must destroy all copies of the Software in your possession.

11. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.
